MEA Board: ‘Happy birthday. You’re fired’
The Matanuska Electric Association Board of Directors Monday night
directed General Manager Wayne Carmony to fire without cause Assistant
General Manager Tuckerman Babcock and Information Technology Director
Bruce Scott. That done, they cut short Carmony’s contract, ordered him
not to hire replacements and directed their private attorney to begin
negotiations to terminate the manager’s employment.

Illegal board meetings jeopardize non-profit status
Moss Adams, the Portland firm hired by the Board to perform an audit
of MEA’s financial position, praised management and blasted the board
for holding illegal meetings. Violations of Bylaws could jeopardize
non-profit status of the member-owned cooperative.

Member-sponsored bylaw proposition on ballot
The Board of Directors reversed itself during a March 25 special
meeting, deciding to accept a member-sponsored bylaw amendment after
all. The petitioners had filed a lawsuit challenging the denial.

About the 2009 MEA Bylaws Committee
Last year’s Bylaw Committee was “disbanded” by the new Board. Six
new members, most of whom had bitterly expressed opposition to MEA
management and the former Board majority, were appointed in their place.

MEA Board rejects bylaw amendment petition
At its March 9, 2009, meeting the Matanuska Electric Association Board
of Directors rejected a member-originated petition to amend the
association’s bylaws, saying it did not follow proper procedures. Board
President Lois Lester ruled that procedures in effect for past 25 years
are not valid.

CORRECTED: Board Attorney bills MEA $26,859.49 in first four months
The Attorney hired by the Matanuska Electric Association Board of
Directors submitted four invoices for work done between October 7, 2008
and February 12, 2009. Billed to the cooperative was time spent on MEA
business by four attorneys and two paralegals. Each bill was approved by
the Board.

MEA Whistleblower Policy backfires
When the Matanuska Electric Association Board of Directors passed a
Whistleblower Policy at a Feb. 23 meeting, it was intended to solicit
complaints against managers and protect employees or others against
retaliation. Of the first 17 complaints filed, only one was aimed at
management, the rest at the Board.
